1. Acceptance of Terms

By accessing or using the services of Talentum Recursos Humanos S.A. de C.V. (hereinafter "Talentum"), including our website, you agree to be bound by these Terms of Service. If you do not agree with these terms, please do not use our services.

These terms apply to all visitors, users, and clients who access or use our recruitment, evaluation, and consulting services.

2. Description of Services

Talentum offers the following professional human resources services:

Recruitment and Selection: Search, evaluation, and presentation of candidates for job positions.
Socioeconomic Studies: Investigation of candidates' social, economic, and family environment.
Psychometric Tests: Evaluation of competencies, personality, and intelligence using validated instruments.
Polygraph Tests: Veracity evaluations performed by certified personnel.
Organizational Consulting: Diagnosis, design, and implementation of organizational development strategies.

3. Engagement and Quotations

Services are engaged through formal acceptance of a commercial proposal or service agreement. Quotations are valid for 30 calendar days unless otherwise indicated.

Prices do not include applicable taxes, which will be added to the total invoice amount according to current tax regulations.

4. Payment Terms

Recruitment services are invoiced upon hiring of the presented candidate.
Socioeconomic studies, psychometric tests, and polygraph tests are invoiced upon service request.
Consulting projects are invoiced according to the schedule agreed in the contract (advance, monthly installments, or deliverables).
Payment is due within 15 calendar days from invoice date, unless otherwise agreed.
Late payments will accrue interest according to applicable legal rates.

5. Guarantees

Recruitment and Selection:

We offer a 90-day replacement guarantee from the candidate's start date. If the hired candidate resigns or is terminated for reasons attributable to their profile or performance within this period, we will conduct a new search at no additional fee (operating expenses not included).

Studies and Evaluations:

We guarantee report delivery within agreed timeframes and accuracy of collected information. In case of inconsistencies attributable to our investigation, we will make necessary corrections at no additional cost.

6. Exclusivity and Candidates

During the term of a recruitment project, the client agrees not to directly hire any candidate presented by Talentum without our intermediation.

If the client hires a candidate presented by Talentum within 12 months following the conclusion of the process, the corresponding fees according to the original proposal must be paid.

7. Confidentiality

Talentum commits to maintaining the confidentiality of all information provided by the client, including but not limited to:

Information about vacant positions and organizational structures
Salary ranges and compensation packages
Strategic plans and future projects
Any information designated as confidential

This confidentiality obligation remains in effect even after termination of the business relationship.

8. Client Responsibilities

The client agrees to:

Provide accurate and complete information about positions and requirements
Promptly communicate any changes in requirements
Provide feedback on presented candidates within a reasonable timeframe
Inform about the hiring of any presented candidate
Comply with applicable labor law provisions
Make payments within agreed timeframes

9. Limitation of Liability

Talentum performs its services with the utmost diligence and professionalism. However, we do not guarantee:

That we will find candidates for all positions in all cases
Future performance of hired candidates beyond the guarantee period
Absolute accuracy of information provided by candidates
Specific results in organizational consulting projects

Our maximum liability shall be limited to the amount of fees paid for the service in question.

10. Service Cancellation

The client may cancel a service at any time by notifying Talentum in writing. In case of cancellation:

Work performed up to the cancellation date will be invoiced
There will be no refund of advance payments for services already initiated
Progress and materials generated up to that point will be delivered

11. Intellectual Property

All materials, methodologies, tools, and reports developed by Talentum are the intellectual property of Talentum. The client receives a limited use license for the specific purpose of the contracted service.

The client may not reproduce, distribute, or use these materials for purposes other than those agreed upon without prior written authorization.

12. Website Use

By using our website, you agree to:

Not use the site for illegal or unauthorized purposes
Not attempt to gain unauthorized access to our systems
Not transmit viruses or other malicious code
Not interfere with the operation of the site
Not collect information from other users without authorization

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Modifications will take effect upon publication on our website. For clients with existing contracts, modifications will apply to services engaged after the modification date.

14. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the United Mexican States. Any controversy arising from these terms or the services provided shall be submitted to the jurisdiction of the competent courts of Mexico City, with both parties waiving any other jurisdiction that may correspond to them.

15. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
